Key idea

Pre-revenue deep tech companies cannot be valued on cash flows. The model must isolate technical inflection points and non-dilutive runway.

Quick Look

  • The DCF Fiction: You cannot apply a Discounted Cash Flow (DCF) model to a company that will not generate commercial revenue for seven years. Traditional modeling fails at the frontier.
  • Pricing Binary Risk: Deep tech valuation is not based on smooth, quarter-over-quarter growth. It is a step-function anchored to discrete technical milestones and the removal of binary risk.
  • The Grant Multiplier: Non-dilutive capital is not just free money; it is a valuation defense mechanism. Blending grant capital into your runway model fundamentally alters your cost of capital and protects founder equity.

The Irrelevance of Traditional Modeling

When a generalist financial advisor attempts to value a deep tech startup—whether in advanced materials, space infrastructure, or synthetic biology—they inevitably reach for the wrong tools.

They attempt to forecast revenue a decade into the future, apply an arbitrary discount rate, and calculate a Net Present Value. In deep tech, this is financial theater. A pre-revenue company facing immense scientific execution risk does not have a predictable cash path. If you present an institutional deep tech investor with a spreadsheet showing linear MRR growth in Year 3, you immediately signal that you do not understand your own asset class.

Deep tech investors are not buying a near-term cash machine. They are buying a mispriced option on a global monopoly, contingent on the physics actually working.

You cannot value IP on current cash flow. You must value it on the replacement cost of the R&D, the defensibility of the patents, and the size of the total addressable market if the technology clears the lab.

Valuing the Step-Function: TRLs and Milestones

Software companies grow smoothly. Deep tech companies grow in violent step-functions.

Value is created exactly when binary risk is removed. Moving a technology from a simulated model (Technology Readiness Level 3) to a physical prototype operating in a controlled environment (TRL 5) is a massive value inflection point.

Your financial model must explicitly map to these inflection points. If you are raising a $15M Series A, that capital is not meant to “fund operations for 24 months.” That capital is meant to fund the exact engineering sprint required to clear the next binary hurdle.

If your financial model cannot draw a straight line between the capital requested, the engineering milestone achieved, and the subsequent markup in your enterprise value, you are not ready for a boardroom.

The Cap Table Impact of Non-Dilutive Capital

Building at the frontier is exceptionally capital-intensive. If founders rely solely on priced equity rounds to fund basic R&D, they will dilute themselves out of their own cap tables before the product ever reaches commercialization.

This is why strategic deep tech modeling requires a blended capital stack. Government grants, defense contracts, and climate subsidies are not just bonuses; they are critical valuation levers.

A dollar of non-dilutive grant capital is mathematically more valuable than a dollar of venture capital. It extends runway to the next value inflection point without issuing a single share of equity.

When we model a deep tech business, we build the grant pipeline directly into the cash flow projections. By utilizing non-dilutive capital to fund early, high-risk R&D, founders can delay their next priced equity round until a major milestone is hit. This results in raising capital at a significantly higher valuation, preserving the capitalization table for the founding team.

How Octane Models the Frontier

At Octane Advisors, we recognize that deep tech finance is an entirely different discipline from SaaS or consumer finance.

When we engage with founders building frontier technology, we do not waste time arguing over hypothetical terminal growth rates. We build models that track cash burn against hard engineering milestones. We isolate the value of your intellectual property, map your non-dilutive funding strategy, and prepare a data room that anticipates the specialized diligence requirements of deep tech funds.

We ensure that when you sit down with an investor, you are not apologizing for a lack of revenue. You are confidently pricing the removal of scientific risk.
